The below information is to inform you of the pendency of litigation brought by Commerce shareholders for themselves and other similarly situated shareholders and, as well, on behalf of Commerce and its shareholders against certain of its present and former officers and directors in connection with various transactions with Commerce, and, as well, against The Toronto-Dominion Bank with respect to a merger of TD and Commerce. The Litigation is pending in the United States District Court for the District of New Jersey. The Litigation has now been settled pursuant to a Stipulation of Settlement and is subject to the approval of the Court. If you are a current shareholder and/or were a record and beneficial holder of common stock of Commerce Bancorp, Inc. at any time from October 2, 2007 to the present, the proposed settlement will affect your rights.
